Terms of Service

1. Definitions

“Account” means the user account you create to access the Service.

4. Registration & Accounts

Eligibility. You must be 18 or older and able to enter binding contracts.

Account Information. You agree to provide accurate, complete, and up-to-date information, and to keep your password and login credentials secure.

Account Responsibility. You’re responsible for all activity under your Account, including any misuse by others.

5. Subscription & Fees

Plans. The Service is available via Subscription Plans (monthly or annual). Plan details and pricing are published on our website or in your order form.

Billing. We bill your chosen payment method in advance on a recurring basis. You authorize us to charge all fees to that method.

Taxes. You’re responsible for all applicable taxes (e.g. sales, VAT) unless we indicate otherwise.

Late Payments. If payment is overdue, we may suspend or terminate your access to the Service.

6. Free Trials & Promotions

From time to time we may offer free trials or promotional offers. Unless otherwise stated, once the trial or promotion ends, your subscription converts to a paid plan and billing commences.

7. Cancellation & Refunds

Cancelling. You can cancel your subscription at any time via the Account dashboard.

Effective Date. The cancellation takes effect at the end of your current billing cycle.

Refunds. Except as required by law, fees are non-refundable and we do not provide refunds or credits for partial periods of service.

8. Intellectual Property

Our IP. Cirql and its licensors own all rights, title, and interest in and to the Service and all associated intellectual property, including software, code, interfaces, documentation, and trademarks.

Limited License. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to use the Service solely for internal business purposes.

9. User Content & Data

License to Cirql. By submitting User Content, you grant Cirql a worldwide, royalty-free license to host, store, use, copy, transmit, and display that content as necessary to provide the Service.

Data Security. We employ industry-standard measures to protect your data. Your content remains yours, and we will not share it except as described in our Privacy Policy.

Responsibility. You alone are responsible for your User Content and compliance with applicable laws (e.g., data privacy, intellectual property, export control).

10. Acceptable Use Policy

You agree not to:

• Use the Service to violate any law or regulation.
• Upload or transmit viruses, malware, or malicious code.
• Infringe others’ intellectual property or privacy rights.
• Reverse engineer, decompile, or disassemble the Service.
• Interfere with the security or performance of the Service.

We reserve the right to investigate and take legal action against anyone who, in our sole discretion, violates this policy.

11. Third-Party Services

The Service may integrate with or provide links to third-party products and services. Cirql does not control, endorse, or assume liability for any third-party offerings; your use of them is at your own risk.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CIRQL DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CIRQL OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CIRQL’S AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

14. Indemnification

You agree to defend, indemnify, and hold harmless Cirql and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable attorney’s fees) arising from (a) your breach of these Terms, (b) your User Content, or (c) your violation of applicable law.

15. Termination

We may suspend or terminate your access, without notice, if you breach these Terms or for any other reason. Sections 1, 7, 8, 9, 12, 13, 14, 16, and 17 survive any termination.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [Your State], without regard to conflict-of-law principles. Any dispute must be brought exclusively in the state or federal courts located in [Your County], [Your State].

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement.
